01Agreement to terms
These Terms of Service (the “Terms”) are an agreement between you and Meadow Desk (“we,” “us”) that governs your use of meadowdesk.com and the Meadow Desk app (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
If you’re using Meadow Desk on behalf of a studio or company, you’re agreeing to these Terms for that organization and confirming you’re authorized to do so. If you don’t agree, please don’t use the Service.
02Your account
You must be at least 18 and able to form a binding contract to use Meadow Desk. When you sign up, give us accurate information and keep it up to date.
You’re responsible for everything that happens under your account, including the actions of any teammates you invite. Keep your password safe, use a strong one, and tell us promptly at [email protected] if you suspect any unauthorized access.
03Your content & data
Everything you put into Meadow Desk (your clients, projects, files, proposals, contracts, and invoices) is your content. You own it, and these Terms don’t change that.
To run the Service, you give us a limited license to host, store, process, and display your content solely to provide Meadow Desk to you and your team. We don’t use it for anything else.
Because your content may include personal information about your own clients, you’re responsible for having the right to store it and for complying with the privacy laws that apply to you. You confirm your content doesn’t infringe anyone’s rights or break the law.
Plainly: your work is yours. We’re just the desk it sits on, and you can pack up and take it with you whenever you want.
04Acceptable use
Meadow Desk is built on trust. When using the Service, you agree not to:
- Break the law, or use Meadow Desk to help anyone else do so.
- Upload malware, attempt to breach security, or probe systems without permission.
- Send spam, run phishing, or use the Service to harass or defraud anyone.
- Reverse-engineer, resell, or sublicense the Service without our written consent.
- Overload or disrupt the Service, or scrape it with automated tools beyond our published API.
- Misrepresent your identity or use Meadow Desk to store unlawful or infringing content.
If you break these rules, we may suspend or close your account, and where we can, we’ll tell you why.
05Plans, billing & renewals
Meadow Desk offers free and paid plans. Paid plans are billed per seat or at a flat rate, monthly or annually, and renew automatically at the start of each period until you cancel.
Free plan
Every new studio starts on the free plan: one seat, no card required, for as long as you like. There is no free trial of a paid plan: a paid plan starts when you check out. If a paid subscription is cancelled, expires, or stays unpaid past its grace period, your studio moves back to the free plan. Your data stays put.
Who bills you
Paid plans are sold through Dodo Payments, our merchant of record. Dodo is the seller of record for your subscription: it processes your payment and issues your receipts, and its own terms of sale also apply to your purchase. You manage your payment method in Dodo’s secure billing portal, linked from your billing settings.
Fees & taxes
Fees are charged in advance and prices are shown before tax; Dodo Payments calculates and collects any sales tax or VAT that applies to your purchase at checkout. Except where required by law, payments are non-refundable, and we don’t pro-rate for partial periods. If a payment fails, we may retry and, after notice, suspend paid features.
Price changes
We may change our prices, but we’ll give you at least 30 days’ notice before a change affects your next renewal.
06Invoicing your clients
Meadow Desk lets you send invoices to your clients and keep track of what they’ve paid. It doesn’t process client payments itself: your clients pay you directly, by whatever method you offer, and you record those payments in your desk, or, if you connect your own Stripe account, they can pay your invoices online through Stripe. Meadow Desk never receives, moves, or holds your funds, and takes no fee from them.
Online payments through Stripe
Connecting a Stripe account is optional. Online payments are processed by Stripe and paid directly into your Stripe account, under your own agreement with Stripe; Stripe’s fees are charged to you by Stripe. Meadow Desk records each payment on its invoice when Stripe confirms it. Refunds, disputes, and payouts are handled in your Stripe account. You can disconnect it from your settings at any time.
We’re not a party to the transaction between you and your client. You’re responsible for the accuracy of your invoices, for collecting what you’re owed, for your Stripe account if you connect one, and for any taxes on the income you collect.
07Electronic signatures
Meadow Desk lets you send contracts to your clients and have them signed electronically, either on the signing page we host for you or, in future, through a signing provider you choose. A typed or drawn signature made this way, together with the record of who signed and when, is generally treated as a valid electronic signature under laws such as the US ESIGN Act and UETA, the EU’s eIDAS Regulation, and the UK’s Electronic Communications Act. It is a simple electronic signature, not an advanced or qualified one.
We’re a tool, not a party
Meadow Desk is not a party to any contract between you and your client, and we don’t review, approve, or vouch for what a contract says. We record the signing steps (the document’s fingerprint, each signer’s name, email address, IP address, browser, and the time) and give both of you the signed copy with its signature certificate. Where it is switched on, a signer first confirms their email address with a one-time code, and the signed PDF is sealed with a digital signature and a trusted timestamp so later changes can be detected.
Whether e-signing suits your contract is your call
We don’t give legal advice. You’re responsible for deciding whether an electronic signature is appropriate for each contract you send, in your jurisdiction and your client’s, and for keeping your own copy of signed contracts. If you’re unsure, please ask a qualified lawyer.
Don’t use Meadow Desk e-signing for documents that the law requires to be signed in ink, witnessed, notarized, or signed with a qualified electronic signature. These commonly include:
- Wills, codicils, and other testamentary documents, and trusts.
- Powers of attorney.
- Deeds, contracts for the sale or transfer of land or property, and documents that must be registered to take effect.
- Negotiable instruments such as promissory notes and bills of exchange.
- Court documents, and notices that the law says must be delivered on paper.
The list differs by country. In India, for example, the Information Technology Act, 2000 (its First Schedule) excludes negotiable instruments other than cheques, powers of attorney, trusts, wills, and contracts for the sale or conveyance of immovable property from electronic signing.
08Cancellation & termination
You can cancel your subscription anytime from Settings; you’ll keep paid features until the end of the period you’ve already paid for. You can delete your account entirely whenever you like.
We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. Except in urgent cases, we’ll give you notice and a chance to fix the problem first.
After termination, you’ll have 30 days to export your data before it’s deleted, as described in our Privacy Policy.
09Intellectual property
The Service itself (our software, design, brand, logos, and content we create) belongs to Meadow Desk and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms; we don’t grant you any other rights in it.
If you send us feedback or ideas, thank you. We may use them to improve Meadow Desk without any obligation to you.
10Disclaimers
We work hard to keep Meadow Desk reliable, but the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the Service will be uninterrupted, error-free, or completely secure.
Meadow Desk is a tool to help you run your studio. It isn’t legal, tax, or accounting advice. For those, please talk to a qualified professional.
11Limitation of liability
To the fullest extent permitted by law, Meadow Desk won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill.
Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. Some jurisdictions don’t allow certain limitations, so parts of this may not apply to you.
12Changes to the Service & Terms
We’re always improving Meadow Desk, so features may change, be added, or be removed over time. We may also update these Terms; when changes are material, we’ll update the “Last updated” date and notify you by email or in-app before they take effect.
If you keep using the Service after changes take effect, you’re agreeing to the updated Terms. If you don’t agree, you can stop using Meadow Desk and close your account.
13Governing law & disputes
We’ll try to resolve any dispute informally first: please reach out to us before filing a claim.
Meadow Desk isn’t operated through a registered company yet. When it is, we’ll update these Terms to name that company, the law that governs them and the courts that hear disputes, and tell you before the change takes effect, as described above. Nothing here limits any rights you have under the mandatory laws of your home country.
